Huxxle Merchant Terms Of Use.
PLEASE READ THE FOLLOWING AGREEMENT, ALONG WITH ITS TERMS AND CONDITIONS, THE HUXXLE TERMS OF USE AND PRIVACY POLICY CAREFULLY BEFORE ACCESSING OR USING THE HUXXLE SERVICES. NOTE THAT THESE TERMS AND CONDITIONS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU (THE MERCHANT) AND HUXXLE (THE SERVICE PROVIDER).
YOU MAY NOT ACCESS OR USE ANY HUXXLE SERVICES UNLESS YOU AGREE TO ABIDE BY ALL OF THE TERMS AND CONDITIONS AS CONTAINED IN THIS AGREEMENT.
Agreement.
Please read the contents of this document carefully and print a copy to retain this
information electronically for your records.
This Merchant Service Agreement (“Agreement”) is a legal agreement between HUXXLE (together with its subsidiaries, affiliates, successors, and assigns) and you (hereinafter referred to as the Merchant), as a user, in order for you to receive certain payment gateway services and other services offered by Huxxle and/or its subsidiaries and affiliates.
Huxxle and Merchant are herein referred to collectively as “Parties” and individually as
“Party”, whereas:
- Huxxle is a technology platform, powered with AI that enables hustlers in Retail, Manufacturing, and Services to sell smartly whether it’s tracking orders, managing inventory, or figuring out what’s trending.
- The Merchant is desirous to partner with Huxxle to use its services to sell to
its customers. - The Merchant agrees to use Huxxle services to sell to its customers.
Hereby Agreed As follows:
- Huxxle hereby grants the Merchant a non-exclusive right to direct its customers through the Huxxle services.
- We (Huxxle) shall charge the Merchant a transaction fee of one percent (1%) on each transaction processed through our platform ("Transaction Fee"). The Transaction Fee shall be deducted from the transaction amount prior to settlement. The Merchant agrees to pay the Transaction Fee on each transaction, as specified in section 2.
- The Transaction Fee shall be paid by the Merchant to Us(Huxle) on a per-transaction basis, and shall be deducted automatically from the transaction amount.
HUXXLE'S OBLIGATIONS AND RIGHTS;
Huxxle agrees to:
- Provide the Merchant with a platform to manage, track and grow their business.
- Grant the Merchant a limited, non-exclusive, non-transferable right to use Huxxle's services.
- Offer fraud protection, compliance support, and technical assistance.
- Set up and integrate the Merchant on Huxxle’s platform.
- Maintain post-implementation support for the Merchant and its customers.
- Ensure open communication for future product development and collaboration.
Service Limitations and Rights
- Huxxle may modify or restrict service features without prior notice, where permitted by law.
- Huxxle reserves the right to refuse or remove content violating its Acceptable Use Policy or Terms of Service.
- Abuse, threats, or harassment toward Huxxle staff will result in immediate account termination.
- In ownership disputes, Huxxle may request verification documents and determine account ownership at its sole discretion.
- Huxxle reserves the right to suspend or transfer accounts until disputes are resolved.
These rights and obligations are not exhaustive, and Huxxle retains all other rights necessary for service operation.
MERCHANT'S OBLIGATIONS
The Merchant hereby agrees to:
- Provide accurate and complete information about their business and products.
- Ensure compliance with all applicable laws and regulations in Nigeria.
- Cooperate with HUXXLE in the provision of the Services.
- Accept and adhere to Huxxle's Terms and Conditions, including the refund policy, and order fulfilment timelines.
- Unauthorized, illegal, or non-compliant use of Huxxle Services is strictly prohibited.
The Merchant must adhere to all relevant laws in Nigeria, Lagos State, and any other applicable jurisdictions.
Consent to Electronic Signatures & Communications;
By using Huxxle Services, you consent to electronic signatures and receiving all records, notices, and communications electronically instead of paper. This consent remains valid until withdrawn.
If you withdraw consent, your Huxxle account may be closed, and you will lose access to services. Any withdrawal will take effect after processing.
To continue receiving communications, you must update your contact details when necessary. Huxxle reserves the right to communicate via paper or modify electronic communication terms as needed.
Payment Terms
You must choose a payment method from Huxxle's available options, which may include bank transfers, Visa, or MasterCard, processed via payment gateways like Paystack. Compliance with all applicable payment network rules is required.
Huxxle is not liable for unauthorized transactions, bank limits, payment issues, or declined transactions.
Naira payments are settled (to be updated), while foreign currency payments take ______ working days. All payments are non-refundable unless stated otherwise.
CONFIDENTIALITY
Both Parties agree to maintain the confidentiality of each other's proprietary information and trade secrets.
TERM AND TERMINATION
This Agreement shall take effect immediately upon the Merchant's successful sign-up and shall be deemed to read the Privacy Policies as set forth in the Privacy Policies section. The Agreement shall remain in effect until terminated by either Party in accordance with the terms and conditions outlined herein.
PROHIBITED ACTIVITIES
Users of Huxxle's services must not engage in any of the following activities in compliance with our policies and laws of the Federal Republic of Nigeria:
- Child Exploitation – Selling, promoting, or distributing content that exploits or abuses minors, including child pornography, sexualization, or any material depicting child abuse.
- Harassment and Defamation – Using Huxxle’s services to harass, bully, defame, or threaten individuals or groups.
- Hate Speech and Discrimination – Promoting or supporting hate speech, violence, or discrimination based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected category.
- Illegal Activities – Engaging in or facilitating activities that violate Nigerian laws, including the Cybercrimes (Prohibition, Prevention, etc.) Act, the National Broadcasting Commission Act, and the Money Laundering (Prohibition) Act.
- Intellectual Property Violations – Selling or distributing counterfeit goods, infringing on copyrights, trademarks, patents, or trade secrets.
- Fraudulent and Deceptive Practices – Engaging in scams, identity theft, phishing, or any deceptive business activities.
- Malware and Cybersecurity Threats – Spreading malware, viruses, or using Huxxle's platform for cyberattacks or phishing attempts.
- Unauthorized Financial Transactions – Selling unlicensed financial products, cryptocurrencies, securities, or engaging in money laundering.
- Illegal or Restricted Goods – Selling products prohibited under Nigerian law, section 18 NIPC:
- Narcotics and controlled substances
- Stolen property
- Firearms, explosives, and unlicensed weaponry
- Para-military wears
- Human body parts or bodily fluids
- Government-issued documents, IDs, or personal financial information
- Gambling services without proper regulatory approval
- Counterfeit goods or unlicensed pharmaceuticals
Restricted Business Activities
Certain industries and activities are subject to regulation and require approval before using Huxxle's services. These include:
- Gambling and Betting – Requires appropriate licensing and compliance with Nigerian regulatory frameworks.
- Multi-Level Marketing and Ponzi Schemes – Pyramid schemes and deceptive MLM structures are prohibited.
- Financial Services – Offering financial services, lending, or cryptocurrency transactions requires adherence to the Central Bank of Nigeria (CBN) regulations.
- Sensitive Content – Adult content, escort services, and sexually explicit materials are restricted unless they meet legal and compliance standards.
Enforcement and Consequences
- Suspension or Termination – Accounts found in breach of this policy may be suspended or permanently banned.
- Legal Action – Where applicable, we may report violations to law enforcement or regulatory bodies.
- Financial Penalties – Merchants may be liable for fees, penalties, or damages resulting from policy violations.
- Content Removal – Huxxle may remove any prohibited material without prior notice.

Introduction
We are Huxxle Ltd ("Huxxle"), a private company limited by shares, incorporated under the Companies and Allied Matters Act 2020, with registration number 8022211. A Company Built for Young Nigerian Hustlers in Retail, Manufacturing, and Services. For any inquiries or concerns about our services or operations, please do not hesitate to contact us.
We operate solely as an independent contractor, offering the Website and its Services as an independent provider. We do not oversee, verify the authenticity, or bear responsibility for the legality or liability of products or services purchased through our platform. Additionally, we do not guarantee user identities and cannot ensure that transactions between buyers and sellers will be successfully completed.
These Terms of Use constitute an agreement between you (user) and Huxxle. They also outline potential risks associated with using our Services, which you should carefully evaluate, as your use of the Website or any of our Services signifies your acceptance of these terms.
Age Restriction
Huxxle's website and services are intended for users 18 years and above. We do not knowingly provide services or transact with anyone under this age.
Applicable Law
These Terms of Use shall be governed by the laws in force in Lagos State of the Federal Republic of Nigeria.
Limited Liability Disclaimer
Huxxle provides a platform for merchants to create and manage their online stores. We are not responsible for the quality, legality, or fulfillment of products or services sold by merchants. Users transact at their own risk, and Huxxle bears no liability for disputes, losses, or damages arising from purchases made through merchant sites.

All content published on the Website, including digital downloads, images, text, graphics, and logos, is the property of Huxxle unless stated otherwise. The entire compilation of content on the Website is exclusively owned by Huxxle, with copyright attribution for the compilation belonging to Huxxle.
